Right now I am running an amd athlon II regor 3.0ghz dual core and I am almost ready to push it up to a amd Phenom II 940 deb 3.0ghz quad core. Will pcsx2 utilize the two other cores and make a NOTICEABLE increase in performance?

I was having trouble overclocking my current processor anywhere past 3.375 ghz. Will the Phenom be easier in that aspect too?

Nope, pcsx2 utilizes only 2 cores now
but take a look at pcsx2 code google site :
Note: PCSX2 only takes advantage of 2 cores so far; so a quad-core processor will not help with speed. We still plan to add quad-core support at a later date, if possible
Regor is a phenom with 2 non functional core, and I heard athlon II is easier to clock than phenom II because the lack of cores.
but I know many people with 940 are able to reach at least 3.7, so it all depends on your needs of cores ;)

Get a quad if you are running an ATI video card.
I Though ati issues is solved with catalyst 8.12 and later release? :???:
